Corporate governance: Ask the right questions (Directors’ guide 2020/21)

Boards are working hard to keep up with an increasingly complex business environment. This guide provides the latest thinking on board-relevant issues and assists boards and directors to ask effective questions in their oversight role.

The responsibilities of boards continue to expand with topics at the boardroom table now ranging from cryptocurrency to climate change. Effective boards must also continue focusing on their traditional responsibilities for overseeing financial reporting.

Many of the current ongoing global issues are highlighted in this guide, such as:

  • the need to develop and execute an effective long-term strategy in a disruptive environment
  • the war for talent and the advantages of a corporate culture aligned to the organization's strategic vision
  • greater scrutiny of executive compensation by shareholders and the media
  • the benefits of boardroom diversity that are based not only on gender, ethnicity, and age, but also on the experience and problem-solving approaches of the directors

Each section of the guide provides a list of questions that directors can ask to begin exploring the issues with their own boards.

Topics include:

  • roles and responsibilities of the board
  • audit committees
  • strategy and risk
  • corporate reporting
